IMPORTANT ARBITRATION & CLASS ACTION WAIVER NOTICE
PLEASE READ THESE TERMS CAREFULLY. SECTION 14 CONTAINS A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (MODELED ON GLOBAL ENTERPRISE STANDARDS LIKE APPLE AND GOOGLE). EXCEPT WHERE FORBIDDEN BY MANDATORY LOCAL CONSUMER STATUTES, ANY DISPUTE BETWEEN YOU AND TOVELU MUST BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
1. Acceptance & Contract Formation
These Universal Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Member", "you", or "your") and Tovelu Health Technologies Private Limited ("Tovelu", "Company", "we", "us", or "our").
By creating an account, paying for access, browsing our web application, executing a food scan, or following any metabolic sequencing protocol, you expressly certify that:
- You are at least 18 years of age (or the legal age of majority in your jurisdiction) and possess full legal capacity to enter into this contract.
- You have thoroughly reviewed and agreed to our Global Privacy Policy and Comprehensive Medical Disclaimer, which are incorporated herein by this reference.
- If you do not agree unconditionally to all provisions of these Terms, you must immediately cease all access to the Tovelu software and platform.
2. Membership Tiers & Definition of "Lifetime Access"
Tovelu offers access to its proprietary health operating system through promotional lifetime licenses, multi-year plans, and annual subscription memberships.
A. Included in the Core "Lifetime Access" License:
A "Lifetime Access" grant conveys a personal, revocable, non-exclusive, non-transferable license to access the Core Tovelu Software Platform for the commercial operating lifecycle of the software. Core features include:
- The Member Daily Cockpit (`today.html`) with daily habit tracking and timer sequences.
- The 1-Snap Sequencing Engine (food photo scanning and biochemical 1-2-3 eating order calculations).
- The Precision Macro Portion Calculator (`food.html`).
- Target-Aware Pantry AI meal recommendations and digital disease compendium database.
- All standard bug fixes, performance patches, and maintenance updates issued to the core software.
B. Explicit Exclusions & Add-On Services (Require Separate Payment):
"Lifetime Access" does NOT constitute an open-ended voucher for third-party human labor, physical products, or ancillary add-on services. The following items are explicitly excluded from standard lifetime software licenses and require additional, à la carte payments:
- 1-on-1 Consultations: Private telehealth consultations with physicians, endocrinologists, registered dietitians, or personal coaches.
- Affiliate Shop & Physical Hardware: Continuous Glucose Monitors (CGMs), smart biometric rings, smart scales, laboratory blood test biomarker kits, and nutritional supplements sold via our affiliate store or partner brands.
- High-Touch Specialty Cohorts: Specialized clinical reversal bootcamps requiring direct human medical oversight.
*Definition Note: "Lifetime" refers exclusively to the duration during which Tovelu actively supports and makes the software commercially available to the general public, not the natural lifespan of the individual purchaser.
3. Intellectual Property & Limited License Grant
All software code, mathematical models, meal sequencing algorithms, biochemical formulas, graphics, UI kit components, trademarks, wordmarks, and documentation associated with Tovelu are the exclusive intellectual property of Tovelu Health Technologies Private Limited or its licensors.
You are granted a limited, personal, non-commercial, revocable license to execute the application for personal lifestyle guidance. You may not:
- Reverse-engineer, decompile, disassemble, or derive the source code of our food recognition or meal sequencing engines.
- Systematically scrape, crawl, index, or harvest data from our 335+ disease compendium or nutritional matrices.
- Resell, sublicense, distribute, or operate a white-label commercial service utilizing Tovelu algorithms without an executed enterprise B2B agreement.
4. Medical Disclaimer & Absence of Doctor-Patient Relationship
TOVELU IS AN EDUCATIONAL AND LIFESTYLE ALGORITHM PLATFORM, NOT A LICENSED HEALTHCARE PROVIDER.
The software, nutritional sequencing suggestions, and circadian timers do NOT constitute medical diagnosis, treatment, or pharmaceutical prescription. No doctor-patient, dietitian-patient, or confidential therapist relationship is formed through your use of the service.
Medication & Insulin Warning: Do not modify, reduce, or discontinue prescription medications (including insulin, metformin, blood pressure agents, or thyroid hormones) without the direct clinical supervision of your personal physician. Read our full Medical Disclaimer.
5. Billing, Payment Processing & Taxation
Payments are securely routed through PCI-DSS Level 1 certified partners (e.g. Stripe, Dodo Payments). You agree to provide current, complete, and accurate billing details.
Taxes: All fees are stated exclusive of applicable value-added tax (VAT), Goods and Services Tax (GST), state sales taxes, or other statutory withholding taxes, which will be charged automatically at checkout pursuant to your sovereign billing address.
Promotional & Renewal Pricing: For recurring subscription plans, fees will renew automatically at the prevailing standard rate at the conclusion of each billing cycle unless cancelled prior to the renewal timestamp.
6. Refund Terms & 30-Day Guarantee
All refund requests, cancellations, and disputes are governed exclusively by our dedicated Refund & Cancellation Policy. Tovelu stands behind its protocols with a 30-Day Risk-Free Guarantee, requiring 14+ days of active protocol tracking to substantiate refund requests.
7. Affiliate Store & Third-Party Vendors
Tovelu may feature links, promotional banners, or recommendations for third-party hardware (e.g. Abbott FreeStyle Libre, Dexcom, Ultrahuman, Oura), laboratory diagnostic panels, or specialty groceries.
Affiliate Disclosure: Tovelu may receive compensation or affiliate commissions when you purchase items through partner links. Tovelu exercises zero control over, and assumes no liability for, the warranty, accuracy, defective performance, or delivery timelines of third-party hardware or laboratory test results. Any dispute regarding physical goods must be addressed directly with the third-party merchant.
8. User Account Integrity & Security
You are solely responsible for maintaining the confidentiality of your credentials and all activities occurring under your account. You agree to notify Tovelu immediately at legal@tovelu.store upon discovering any unauthorized entry or breach of security.
9. Disclaimer of Warranties ("As-Is" & "As-Available")
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
TOVELU AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS PROVIDE THE SOFTWARE AND PROTOCOLS STRICTLY ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, BUG-FREE, OR FREE FROM HARMFUL CODE, OR THAT FOOD DETECTION WILL ATTAIN 100% MATHEMATICAL PRECISION ACROSS EVERY CUISINE.
10. Strict Limitation of Liability
CAP ON CUMULATIVE DAMAGES:
UNDER NO CIRCUMSTANCES SHALL TOVELU HEALTH TECHNOLOGIES PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, HEALTH COMPLICATIONS ARISING FROM FAILURE TO CONSULT A PHYSICIAN, OR PERSONAL INJURY.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO TOVELU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), WHICHEVER IS LESS.
11. User Indemnification
You agree to defend, indemnify, and hold harmless Tovelu, its officers, directors, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your violation of these Terms; (b) your misuse of the platform; (c) your violation of any third-party right; or (d) any physical or metabolic harm resulting from failure to adhere to medical advice from a licensed physician.
12. International Use Across 230+ Sovereign Territories
Tovelu operates from cloud infrastructure accessible globally. You are solely responsible for compliance with your local laws, regulations, and import/export restrictions. We make no representation that materials on Tovelu are appropriate or legally permissible in every sovereign jurisdiction.
13. Mandatory Binding Individual Arbitration & Class Action Waiver
A. Informal Dispute Resolution First:
Before initiating formal legal proceedings, you and Tovelu agree to attempt to resolve any controversy, claim, or dispute amicably by sending written notice detailing the dispute to legal@tovelu.store. Both parties agree to negotiate in good faith for forty-five (45) days.
B. Agreement to Binding Arbitration:
If unresolved after 45 days, any dispute, controversy, or claim arising out of or relating to these Terms, the breach, termination, or invalidity thereof, or your use of Tovelu software, shall be determined by final and binding individual arbitration administered in accordance with standard international arbitration rules (or the Arbitration and Conciliation Act, 1996 for claims seated in India). The seat of arbitration shall be determined by Company headquarters, and proceedings shall be conducted in the English language.
C. Class Action & Jury Trial Waiver:
YOU AND TOVELU AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS.
14. Modifications, Severability & Entire Agreement
We reserve the right to amend these Terms at any time by publishing the revised document on our domain. Continued use following amendments constitutes affirmative acceptance. If any provision of these Terms is deemed unlawful or unenforceable, that provision shall be severed without invalidating the remaining terms.
